These Terms govern your access to and use of the Cypho Threat Intelligence Platform, our website, and related services.
By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to bind that organization, and “you” means that organization. If you do not agree, do not use the Services.
A signed order form, subscription agreement, data processing agreement, or other written agreement with Cypho may contain additional terms. If there is a conflict, the signed agreement controls for the subject it covers.
1. The Services
Cypho provides a threat intelligence platform and related services that may include monitoring, search, alerts, reports, integrations, attack-surface visibility, digital-risk and brand protection, and analysis of threats found across internet, surface-web, deep-web, dark-web, and third-party sources (collectively, the “Services”).
Threat intelligence is inherently dynamic. Findings may be incomplete, delayed, duplicated, inaccurate, or later changed as sources and adversary activity evolve. You are responsible for validating material findings and deciding how to act on them. The Services do not replace your security controls, professional judgment, legal advice, or incident response plan.
2. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, keep credentials confidential, and promptly notify Cypho at [email protected] if you suspect unauthorized access. You are responsible for activity under your account and for ensuring that your authorized users comply with these Terms.
3. Customer Data and Monitored Assets
“Customer Data” means information you or your authorized users submit to the Services, including domains, IP addresses, keywords, brands, email domains, executive names, assets, indicators, cases, notes, and integration data.
- You retain ownership of Customer Data and grant Cypho the limited right to host, process, transmit, and display it as needed to provide, secure, support, and improve the Services.
- You confirm that you have the rights and lawful basis needed to provide Customer Data and to monitor the assets, brands, people, or identifiers you configure.
- You must not submit secrets, production credentials, payment card data, health data, or other regulated sensitive data unless Cypho has expressly agreed in writing to process it.
Cypho may generate alerts, correlations, scores, and reports from Customer Data and threat data. Cypho may also use aggregated or de-identified information that does not identify you or any individual to operate, secure, analyze, and improve the Services.
4. Acceptable Use
You may use the Services only for lawful, defensive purposes.
You must not:
- use the Services to attack, exploit, stalk, harass, deceive, or unlawfully monitor another person or organization;
- upload malware or harmful code, except samples expressly permitted for authorized security analysis;
- attempt to bypass access controls, probe Cypho systems without authorization, or disrupt the Services;
- scrape, bulk-export, resell, sublicense, or redistribute the Services or threat data except as your plan or written agreement permits;
- reverse engineer or attempt to discover source code, models, or non-public methods, except where the law does not allow this restriction;
- use the Services or their outputs to build a competing product, train a competing model, or violate third-party rights; or
- represent a risk score, alert, attribution, or other output as verified fact without appropriate review and context.
Cypho may investigate suspected misuse and suspend access when reasonably necessary to protect the Services, customers, sources, or third parties.
5. Threat Data and Third-Party Sources
The Services may collect, reference, or link to information from public sources, licensed providers, security researchers, community feeds, and restricted sources. That information may be subject to third-party rights, source-specific restrictions, or additional terms. You must use it lawfully and in accordance with any restrictions presented in the Services.
Cypho does not control third-party services, sources, websites, or integrations and is not responsible for their availability, accuracy, security, or practices. Third-party terms may apply when you enable an integration or follow an external link.
6. Subscriptions and Payment
Subscription scope, usage limits, fees, billing frequency, renewal, and cancellation terms are stated in your order form or other written agreement. Unless that agreement says otherwise, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes on Cypho’s income.
7. Intellectual Property and Feedback
Cypho and its licensors retain all rights in the Services, platform software, interfaces, documentation, threat-data compilation, designs, trademarks, and technology. Subject to these Terms and any applicable subscription limits, Cypho grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.
If you provide feedback, you allow Cypho to use it without restriction or obligation, provided Cypho does not identify you publicly as its source without permission.
8. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform or receive the Services, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by confidentiality duties. These obligations do not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or lawfully received without a confidentiality duty.
9. Privacy and Security
Our collection and use of personal information is described in the Privacy Policy. You are responsible for determining whether the Services are appropriate for your compliance obligations and for configuring access, monitored assets, integrations, and retention settings available to you.
10. Service Changes and Availability
Cypho may update the Services to improve performance, security, or functionality and may discontinue features. We will provide reasonable notice of a material reduction in core paid functionality when practicable. Maintenance, source changes, internet conditions, emergencies, and events outside Cypho’s reasonable control may affect availability.
11. Suspension and Termination
You may stop using the Services at any time, subject to your subscription commitments. Cypho may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if continued service becomes unlawful. Where reasonable, Cypho will give notice and an opportunity to cure. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, liability limitations, and payment obligations.
12. Disclaimers
To the fullest extent permitted by law, the Services and all threat data, alerts, scores, and reports are provided “as is” and “as available.” Cypho disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. Cypho does not warrant that every threat, exposure, vulnerability, impersonation, or incident will be detected or prevented, or that every finding is accurate.
13. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from the Services or these Terms. Any additional liability limits in a signed agreement apply. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
14. Governing Terms and Disputes
Any governing-law, venue, and dispute-resolution provisions in your signed agreement with Cypho apply. If you do not have a signed agreement, these questions will be determined under the laws and by the courts that have jurisdiction under applicable law. Before filing a formal claim, you and Cypho agree to try in good faith to resolve the dispute by contacting the other party.
15. Changes to These Terms
Cypho may update these Terms as the Services, laws, or business practices change. We will post the revised Terms and update the effective date. If a change materially affects your rights, we will provide additional notice when required. Continued use after the revised Terms take effect means you accept them.
